A Company has two Directors, both of them are shareholders of the Company as well.

Both of them passed away in an accident.

My query is How to file Form 32 for their cessation and what will be the status of the Company now with no directors as on date in the Company?


Do i need to appoint other Two directors in the Company from back date?

This is the first year of the Company.DOI 06/06/2007. And i am filing Annual Returns for FY 2007-08. I know company has defaulted. While filling Form 23ACA i have below Queries/ Errors.

1. Period of Accounts line item entry should start from 06/06/2007 or 01/04/2007 ?I tried putting both the dates but while doing pre scrutiny it shows error relating to Previous Year Start Date. DOI i have verified from MCA

3.What period should i put in Previous Year i.e YoY.column as i even tried both the dates there but it shows error.

I am lawyer can i do registration company act my client.

I understand that first auditor is to be appointed with in 1 Month of Date of Incorporation of Company in Board Meeting and there is no need to file Form 23B (appointment of auditors) with ROC. Now i have two queries.

1. While file Annual Return for the respective year Form 23AC will ask for reference number of Form 23B. so i need up fill up Z99999999 ?

2.Is it necessary to intimate ROC of the Board Resolution passed of First Auditor appointment? If yes than in which Form?

Dear Sir,

A company filed ROC Form No.20 B & ( Form No.23AC,23ACA XBRL) show the date of AGM 20.06.2011 correctly.

But by mistake company shown the date of AGM in which Accounts are adopted in FORM NO.23AC i.e 20.09.2011 instead of 20.06.2011.


Is it tolerable mistake ? are any suggestion,please give the suggestion.
