Death of directors of private limited company

02 January 2012 A Company has two Directors, both of them are shareholders of the Company as well.

Both of them passed away in an accident.

My query is How to file Form 32 for their cessation and what will be the status of the Company now with no directors as on date in the Company?

Do i need to appoint other Two directors in the Company from back date?

Members of the Company can appoint Directors of the Company and shares of the Deceased Will go to thier Legal Hiers.

They are the Ultimate Owner of the Company and they can appoint Directors of the Company.

But my query is how can i appoint two new Directors in the Company if both directors and shareholders are same, they both are only the two persons which passed away.

Legal Heirs Can appoint New Directors.

Ultimately Legal Heirs are Owner of the Company.
