03 January 2012 Does the resignation of the Director requires boards approval?Can form 32 be filed without the acceptance of the board in the board meeting?



03 January 2012 Dear Member,

The rule is that we have to file Form 32 within 30 days of the resignation of the Director. In between we can hold a Board Meeting in which resignation can be considered. But, Board is having no authority to approve or disapprove resignations.

03 January 2012 Once director has resigned and communicated his resignation to the company, his roll is over.

Now it is the responsibility of the company to convene a Board meeting and authorise any director to file form 32 for cessation of director. generally company also passes a resolution as to accept the resignation from such director.
