Are chairman for the board and chairman for the board meeting same..?? If not, whether both have the power of casting vote..??

What if a Ltd.Company gives audited results for the last quarter and wish to extend its AGM...

IS IT POSSIBLE TO DO THAT?

or we have to give unaudited results to the exchanges and then to extend AGM

we have a Public Ltd., company , Doing Real estate business we need some funds to develop the company and for expansion. How can we get funds, Shall we go for deposits with out taking RBI permit-ion because we r not NBFC's our company under comes NBNFC Non banking Non financial company.
Shall we take funds (Deposit) by giving pledge of Company assets.

Section 192A is espacilly applicable for listed company and businesses mentioned under Postal Ballot Rules 2011 can be transacted only through Postal Ballot or in general Meeting Also.

Share Capital in Arrear at the time of incorporation

Two person incorporate a Pvt company and take 5000 share each of rs. 10 each, total Rs. 100000, When Filing MOA and AOA , Rs. 100000 is in arrear( unpaid to both the director), can ROC can issue Incorporation certificate if share capital is unpaid,

If it is allowed what will be accounting treatment in books of account of Fresh incorporated company

I am into the process of Incorporating a new company...
After filling the forms, I got a query under the head "Waiting for user clarification"

They asked me to file form no-67 stating that blank pages should be deleted from AOA.

While submitting the Form 67,
They ask me to give details of Additional Stamp duty..

Why I have to pay it?
How much should I pay?
How to pay it?

Please guide whether Annual disclosure under regulation 30 (2) has to be given separately for each person or it can be given in one single file?

We are a listed company. We want to increase the authorised share capital by altering MOA & AOA. Is it mandotry to do the same only by postal ballot or can do in AGM/EGM.
