I want to raise Share Capital of a Private Limited Company based in Mumbai from Rs.10CR. to Rs.60CR.
Please guide me on following queries:
1.What are the Stamp Duties, Registration fees, ROC Fees will be payable?
2.Please provide process for Increase and issue of Shares.
3.What will be the additional compliance applicable after such increase in share capital?

Running a private limited

Dear Sir/Madam
We have a family business that deals in manufacturing of plush toys in Vashi, Navi Mumbai. I have just joined about 2 years ago and I have come to the understanding that the Accounting and Paperwork of the company is totally out of order. Being from and engineering background I have zero knowledge about taking over and running a private ltd firm. But over the years I have a large understanding of most of the accounting and stocktaking processes.

I am in details help from anyone, who can help me online or offline for running the company properly. The folowing are the fields were I would be requiring assistance.

1. Various Taxes and Government Based Fees that I need to have/check I am already paying them. (VAT/Sales tax/Excise/Cess/Labour Laws/Shop Establishment/etc... if applicable)
2. How to calculate costing of my manufactured products before I can quote to clients and the elements that I need to consider in calculating them.
3. How to calculate various terms like Profit/Loss/Overheads and other applicable to manufacturing
4. Other variable that I may not know about.

Buy back of shares

Kindly guide me on the provisions of opening of Escrow Account and Special Bank Account and percentage of amount to be deposited therein and other relatable provisions with regards to Buy-back of Equity Shares by a Private Limited Comapny under Companies Act, 1956.

Is there any law or convention or CG practice which requires that the Board level Statutory Committees (like Audit Committee, Remuneration Committee etc.) should be reconstituted every Year (i.e. after AGM)??

I saw some good companies like infosys following this practice. Is there any statutory requirement or is this just a good CG practice.

Sitting fee payment

A Section 25 Company passed a resolution in BOD meeting approving payment of sitting fee which is more than the slab prescribed by Act , i.e. Rule 10b.

It falls in the slab of 10000, however approved Rs. 20000 and also paid to the director for first BOD meeting(by deducting TDS).

Now this mistake was discovered after the 2nd BOD meeting was over. The sitting fee payment of 2nd BOD meeting is kept on hold due to this. What is the best way to resolve it and to realise the extra payment made in first BOD meet?
