what is the procedure to be taken care in the notice of agm and proceedings of agm for the same?

Dear Respected Members,

I have got name approval to form a pvt ltd co and had included the following clause inf FORM 1A as main object
"To carry on the business of all types of building materials and construction materials, manufacturing, processing, converting, refining, preparing, importing, exporting selling, distributing, commission agency and dealers."
Now on incorporation, is it required to take above clause as ONLY main object in MOA or I may include other incidental business elaborating the same?

Is there any legal issue in using the the word director for the designation of a person who is an employee of the company. Like regional director.

A company has obtained car loan against hypothecation of the said vehicle.The Bank has executed a Loan Agreement and RC was endorsed in its favour.However, no Hypothecqation - Deed was executed.The Bank is insisting the company to arrange for registration of the charge?Can it be filed in the absence of the Hypothecation Deed?

Is there any RBI Giudeline Regarding the type of securities to be demanded by the Bank for providing the Cash Credit Facilities to the Company?If so,reference thereof.

Can a director's own residence be given as colleterral security against the above facilities,if he so agrees to provide?

Can a direcor's remuneration be kept withheld,untill he fulfills his personal guarantees in connection with the above facilitiues?

In a pvt ltd company if the authorized capital is 1 lakh then how many shares can be their?

in a pvt ltd. , if a director is allotted 100 shares( of 50 rs each) at a time of formation of company. do he need to pay that much amount of money at the same time or he can pay later before the year ends.
