Can a Company change the folio numbers of all its shareholders on any event (E.g. Bonus, Split, Issue etc)??

i am filing din 4 of director but the din disabled by mca portal. THE FORM IS NOT PRESCRUNTISED AND THE QUERY SHOWS (as per our system your din disabled as you have not entered your pan details ever ,please update the pan details in the form.)

can a Public Limited Company invest in shares of outside india Company and in this case Indian co. want to represent one of its director for investment on behalf of company? is there any comliance under Companies act and also provide a Board resolution for representing director on behalf of company.

I want to preapare Board Resolution (BR) to get corporate e-banking facitlity with State bank of India for my company,

Our company director are from Malaysia. bank manager told to me get Board resolution sign by director & to be duely attested by Indian Embassy/High Commission or Consulate in the country where applicant is located or certified by Apostille.

is it necessary to attested by Indian Embassay or High Commission or Consulate of that country where applicant is located, Please advise

A is a shareholder of XYZ Ltd. on papers only company nothing recd. at time of allotment, but after long time company want to retire/ change shareholder A, and a new shareholder B for same amount of shares. Now, contention of BOD of XYZ Ltd. that B paid amount amount to A for consideration and company striked out the name of A for B.
Is company safe from any compliance / BOD can do so ?
