As per the notification dated 8/02/2011 schedule XIII is not applicable to non listed public limited companies and central government approval for the same is not required.

In this scenario the limit specified in sec 309 for 5% and 10% is applicable or payment can exceed this limit and still no Central Government approval is required.

Query in Form 23AC - Field 5. Date of signing of reports on the balance sheet by the auditors

In my case, dates are different :

I am having

- date of Balance Sheet (& P&L) as 30.06.12 and

- date of Auditors' Report as 31.08.12.

- date of AGM as 30.09.12.

Ans : ........................... Whether BS date is appropriate for filling in Form 23AC & P&L date for Form 23ACA.

I need a considered advise on the following matter.

A Pvt. Ltd. co. has three directors. One of the promoter is Chairman of all the meetings and overall authority for conducting of affairs of the Company.However, on MCA site his designation is mentioned a Director. He signs all the dosuments,papers by the designation of Chairman.Last time a PCS has objected to his signing the docs as a Chairman. As per his view, the Chairman should sign the docs as a director and not the chairman. Elese, his designation should be changed and a fresh form 32 should be filed in mCA.
What should the Company do. I agree with the view of PCS technically he is correct. But I am not sure whether change in designation as chairman will be proper. Please advise.

There is a one director of a company is being declared defaulted at mca site for non filing of balance sheets from 2008-09. and he is also director in other 3 companies. when we are filing balance sheet of other companies the mesg showing director is in default.. so how to rectify this mistake.
Can we file the balance sheet from 2008-09 in that co. in which he made a default. and also can he sign the balance sheet of defaulting companies.

Please guide me in this regard.

Company's date of AGM where dividend is declared: September 30,2007

so, according to the section, last date for payment: October 29, 2007

Transfer of amount to separate account: November 5,2007

Query 1: Company did not transfer the amount to a separate account. As on date, the same dividend account remains open.

Query 2: Should company entertain any claim of dividend after October 29, 2007.

Query 3: Company pays dividend to a claimant in November 2008. is this a violation under law.

Query 4: exact date of completion of 7 years for transfer of amount to Investor & Protection fund
