please advice what date should be mentioned in form 23AC and ACA under Board of Directors resolution, if there is no specific approval taken in the board meeting for filings with ROC.

Should the date of board meeting before AGM be mentioned?

Yes, it should be date of Board Meeting in which it is adopted or any earlier Board Meeting.

You can take blanket approval for MCA filing and you can use such resolution for future filing.

I also follow the same practice. I passed a resolution in 2008 and use the same for all filing with ROC as on date.

Use this format for blanket approval:

FILING OF STATUTORY FORMS

The Board was informed that MCA 21 an e-Governance initiative of the Ministry of Company Affairs (MCA) is a flagship programme built on the Government’s vision of National E-Governance. MCA has issued General rules and forms and notified new e-Forms. These Forms have been evolved to suit e-filing and has to be authenticated by the Authorized Signatories (Managing Director/ Director/Company Secretary) using digital signatures. The Board considered the matter and passed the following resolution in this regard:

“RESOLVED THAT any Director or Company Secretary be and are hereby severally authorized to sign and file various forms/returns and other documents as and when required to be filed under the provisions of the Companies Act, 1956 with the Registrar of Companies, NCT of Delhi and Haryana, and Department of Company Affairs and to do all such acts, deeds, matters and things as may be required in this regard.”
