What is the procedure to transfer shares from one individual to another individual in a private company??

ONE OF OUR CLIENTS IS A MANUFACTURING CONCERN AND THEY WANT TO COLLECT MONEY FROM THEIR DISTRIBUTORS PURPOSE BEING SECURITY DEPOSIT AND THEY ARE WILLING TO PAY INTEREST ON IT, BUT MY DOUBT IS THAT SINCE THEY ARE A PRIVATE LIMITED COMPANY THEIR IDEA IS AGAINST THE PROVISIONS OF COMPANIES ACT, PLEASE SUGGEST.

Process of Share Allotment

1) Get the Cheque from Shareholder
2) Issue share application and allotment form
3) Prepare List of Allotee
4) File Form-2
5) Make changes in Register

Is this process complete.Moreover, what will happen to the cheque and what if we dont have forms for the allotment made fews before

depreciation was being made since 2009

Mobile of Rs.1442/-on 31.03.2013
Air Condition of Rs.7480/- on 31.03.2013

No depreciation has been made on 31.03.2013

Now I want to dispose theses assets..please tell me what effect to show in balance shee and how..regards
