Can anybody please elaborate the Section 192 of the Companies Act, 2013 regarding Restriction on non-cash transactions involving Directors with the help of any Example because I am finding it difficult to understand the concept of this Section.

xyz company had issued non-convetible debenture on say 1.01.2013 and due date of redumption is on 31.12.2015. but Company wats to fix the record date now only i.e say today Can Company do it?
In a pvt. ltd. co. out of the two director cum members, one director passes away.the single director held a board meeting passed the accounts and convene AGM.
the remaining and only three members (including a single director) attended the meeting and approved the financial statements.
question is whether a single director can take decision in board meeting, including passing of accounts and can he / she singly, convene AGM.??
your reply will provide guidance to tackle similar situation in future.

I want to know whether a Bank to whom a Pvt. Ltd company has applied for loan can view profit and Loss account of that Pvt. Ltd company on ROC website?
As far as i know no one can view P&L account of a Pvt. Ltd. Company on ROC website.
I request Experts to please throw some light on it.

Due to some problem between the Company and Auditor, he is not signing the Balance sheet for the FY 2012-13 or not giving his resignation.Now there is last date 30th September, 2013 for holding the AGM and for filing Income tax Return also.Now what is the solution for this.
