If directors daughter appointed in a company and she is earning salary for every month whether she is entitled for bonus gratuity ??whether she can be treated as a employees for the purpose of bonus and gratuity??

As per the section 185 of the companies act, the companies cannot give corporate guarantee for loans taken by other companies as well for its Directors.

Then what will be the position of the existing loans sanctioned and the mitigations for the proposals already submitted to banks offering corporate guarantee.

What is the possible solutions and implications of the above section

Dear all ,

There is a contract between two public cos havong common directors . The contract is for takin on lease the furnitures from the other public company.

Now this is contracy of sub lease....the public co which has given the furniture on lease to the other public co has itself taken it on lease from a different pvt co....

This pvt co does not have common directors.

Now whether section 297 is applicable.....bcoz by givin the furniture on sub lease the public co is makin a profit.

As per Sec. 372A of Companies Act 1956 Company give guarantee not exceeding 60% of it's paid up capital and Free reserve or 100% of its Free reserve without obtaining the consent of share holder.
My query related to date ie. of which date Capital and free reserve or free reserve are take in to consider.

As per my Companies records,

As at 31st march 2013 - Paid up Share capital are - 30,76,24,000/- and Free Reserve are Nil and

As on Date - Paid up capital - 41,76,00,000/- and free reserve - Nil

then what is the limit under sec.372A Board can give guarantee without obtaining prior consent of share holder.

We have one existing pvt ltd company engaged in Water purifying industry which is inoperative.

One of our clients dealing in medical equipments is required to incorporate a pvt ltd company.


My question is:
Apart from Object clause... Name Clause... Directors' change.. Registered Address clause.. Is there any other formalities to be complied with?
