Method of depriciation

hello sir...
my client is a private limited company and while checking the audited balance sheet it was found in notes to accounts , method of deprecation followed was WDV as per IT Act, i.e. 30% on motor vehicle (for hiring) but as per companies act rate (WDV) 40% on motor vehicle (for hiring). please suggest what to do as we can not charge deprecation lower then as mentioned in companies act.

sir..
i want to know that whether it is mandatory for a private limited company to charge depreciation as per companies act,1956 in its books of accounts ?? and when i was seen the audited balance sheet for the F.Y 2012-13 on tax audited balance sheet, differed tax was not calculated and deprecation as per IT Act was carry to (Same amount as in B/S)in Books. whether it is correct ???

Bacha f guzdar query?

We have learned in Income tax that under the head Income From Other Sources Dividend income is exempt from tax, u/s 10(34) but in the example of Separate legal entity in Company Law (Companies Act 1956) we also learn that Bacha F Guzdar will be liable to pay tax on the dividend income.


My solution to this problem:
My tax teacher while teaching IFOS referred that Dividend income is taxable under IFOS but it is exempt.


Am I Correct?

Allotment of shares form-2

When does a company can show the share application money as paid up capital?

1. Date of BOD for allotment
2. Date of Filing Form 2
3. Date of approval of Form 2
4. any other date

Pleas Clarify it and also clarify the process to increase paid up capital and ROC requirments. The company has already increased it authorised capital.

Could you pls help for following scenario :

A private company is having only two directors & one of the Director of a same company needs to discontinue being director.

Again that company is willing to bring another director to relieve the director who wants to discontinue.

What should the director who wishes to discontinue should do??

In case of Private Limited Company, 3 Directors were on Board. One Director resigned on 10.06.2013 and other Director resigned on 15.06.2013. Now only one director is present and Company wants to run the show. What could be the wayout for this deadlock?

Silent features of new companies act

Salient features of the new company bill: - Companies are required to spend at least two percent of their net profit on Corporate Social Responsibility. - To help in curbing a major source of corporate delinquency, introduces punishment for falsely inducing a person to enter into any agreement with bank or financial institution, with a view to obtaining credit facilities. - The limit in respect of maximum number of companies in which a person may be appointed as auditor has been proposed as 20. - Independent directors' shall be excluded for the purpose of computing 'one third of retiring directors'. - Appointment of auditors for 5 years shall be subject to ratification by members at every Annual General Meeting. - 'Whole-time director' has been included in the definition of the term 'key managerial personnel'. - The term 'private placement' has been defined to bring clarity. - Maximum number of directors in a private company increased from 12 to 15 which can be increased further by special resolution. - Financial Year of any company can end only on March 31 and only exception is for companies, which are holding / subsidiary of a foreign entity requiring consolidation outside India, can have a different financial year with the approval of Tribunal.... -Dev
