Is the Balance Sheet or the Audit report required to be attached to MGT 14 for Approval of Audited Financials in the Board Meeting??

A PRIVATE LIMITED COMPANY IS DESIROUS OF GETTING ITS FINANCIAL STATEMENT FOR F.Y. 2013-14 TO BE AUDITED BY DIFFERENT AUDITOR , HOWEVER SINCE FOR CURRENT F.Y. THE AUDITOR WOULD HAVE BEEN FIXED ON LAST AGM HELD ON SEPT 2013.

WHAT SHALL THE COMPANY NOW DO TO GIVE EFFECT TO REMOVAL OF LAST AUDITOR AND APPOINTMENT OF NEW AUDITOR AS PER COMPANIES ACT 1956 , SINCE TILL F.Y. 2013-14 , PROVISIONS OF COMPANIES ACT 1956 IS APPLICABLE.

What is the amount to be spent on CSR activity if it has incurred net loss ,even its net worth etc exceed the prescribed amounts ?

A private limited company with 3 directors wants to remove 2 old directors & introduce 2 new directors & simultaneously transfer the shares of old 2 directors to 2 new directors.

Can removal & introduction of directors be done in 1 board resolution?

Please provide copy of Authorisation letter from owner.

We have planned to started to incorporate a pvt ltd .company for producing masala food products..

We find that options to select company under part - 1(chapter XXI), Producer company, New company (others), Section 8 company..

Which is applicable for us we are only two directors and our capital is Rs.4,00,00/-

Kindly let me know that whether we are required to file a resolution in MGT-14 with ROC for adoption of Financial Statements and Directors Report by BOD for financial year 2013-2014. or this provision is applicable from financial year 2014-2015.
As per MCA Circular No 08/2014 this provision is applicable from financial year commenced from or after 01st April 2014.
But some Peoples are saying that resolution for adoption of financial statements and direcotors report is required to be filed for financial year 2013-2014 also.
So kindly Clarify the above mentioned query as early as possible.
