20 September 2014 Dear Expert,

We have planned to started to incorporate a pvt ltd .company for producing masala food products..

We find that options to select company under part - 1(chapter XXI), Producer company, New company (others), Section 8 company..

Which is applicable for us we are only two directors and our capital is Rs.4,00,00/-

20 September 2014 actually we have been doing business as a partnership firm.. we are only two partners.
and one partner is retiring now. so, we are appointing a new director for incorporation..

My doubt is

1) shall we convert the partner ship firm to a pvt.ltd. (i heard that 7 partners mandatory for conversion)

or
2) We have to go for a new private ltd. incorporation.. in that case how we have to close that partnership firm..

The directors have been staying USA since 10 years,as non residents can they appointed as a directors for a pvt.ltd.
