We have received the Approval for name from ROC.However the name approved was not the name for which first preference was given in INC-1.Now the client wants us to reject the approval given for that name and re-apply in INC-1.What is the procedure for the same?

There are 2 directors, Company is private limited with directors as 2 members.
Now one member wants to resign. What can be done in this regard. My queries are:
Q1. Can remaining one director accept his resignation and individually appoint new director.
Q2. As one director is leaving the company, can new director sign balance sheet of financial year for which he was not director.
Q3. Procedure to final accounts, issue notice of agm and acceptance financial statements if one director of 2 (total 2 directors) is out of India and will be back after 6-8 months. Can one director do the necessary without board meeting.

If any person is going to appoint as first director of a company which is going to incorporate, what procedure required to follow?
My INC2 got rejected twice with remarks as:
Rule 16(1)(a) and Rule 13(1) of the Companies (Incorporation) Rules, 2014 has not been complied.Not to be taken on record.
As regarding Rule 16(1)a do I need to affix Photograph and all other details mentioned in Rule 16(1) in MOA & AOA since its not in the formats as prescribed in Schedule 2 of Companies act 2013
And as regarding Rule13(1) my submitted MOA & attested by a witness, do I need the MOA to be signed by more witnesses??
Any my form has been rejected twice and retuned as "Not To Be Taken In Record" does this mean I need to refile the form by paying the Incorporation fees again ??
I was incorporate Private Limited Company as on 28.02.2014.And not appoint first Auditor with in 30 days of the date of incorporation and also EOGM within 90 days of the date of incorporation. Kindly confirm me what will be do in this case without penalty.

I have incorporated a Company under Companies Act 1956 and the COI has been received on 02.04.2014.
Now my question here is that whether Section 11 "Declaration for Commencement of Business" will be applicable on this company or not since Companies Act 2013 applicable w.e.f. 01.04.2014.
