A shareholder of a pvt.ltd co. wants to transfer its shares. The size of the co. is very small having authorised and paid up capital of Rs. 100000 only. Can anybody plz tell me the exact procedure to be followed for the transfer.
Further, what about the stamp duty. what are the circumtances when stamp duty is to be paid for transfer of shares.

Is it necessary allot the shares to subscribers of MOA & AOA ? Can we received the paid up money in cash by subscribers ?
what is the basis for a company for going to public issue i.e., which are the companies that can go for public issue? please confirm me whether there are any conditions for companies to satisfy before going for public issue?

I Know:
1. That the Board meeting to be conveyed for Applying for name approval (i.e. eform 1A)
2. That the General Meeting to be coveyed pass resolution and Filling of Form 1B and Form 23 with in time limit
3. That the Changes to be made in the MoA and AoA
now my query is that:
1. is there any stamp duty payable for change in name. if yes on which form (we are in the State of Maharashtra)
2. is it possible to go for change in name viz a viz change in the object clause (in the MoA) if yes what is the procedure.
