After incorporation of Pvt. Ltd.(3 Director with one lacs capital), new director wants to come as 4th with equal shares. im such cases, what will be the procedure ?

The existing directors may transfer 8.33% of their shares to the 4th director so that each of the four directors will have 25% share holdings in the company. Then file form 32 through MCA 21. Make sure that the MOA and AOA of the company permits to do so.

What about share transfer ? how will i inform to ROC about share change ? How can i know that MOA And AOA permit to do so ?

Articles do contain provisions relating to the Transfer of shares. In case of a Private Company the transfer can not take place without seeking the prior approval from the Board of Directors and Board will accord such approval strictly in accordance with the provisions contained in AOA.
Further, particulars all transfer of shares are given in the Annual Return filed by the company with ROC.

You will have to file both Form 32 & Form 2.
Form 32 is for admission of new director and Form 2 is for Share transfer.

in case transfer of shares from one share holder to another shareholder, form 2 is not submitted. The intimation of shares transferred during the period between two AGMs is given in the anuual return. The prescribed column are there in the annula return
