Depreciation as per Companies Act,1956

As per NOTES to SCHEDULE XIV :
"Provided that where the aggregate actual cost of individual items of plant and machinery costing Rs. 5,000 less constitutes more than 10 per cent of the total actual cost of plant and machinery, rates of depreciation applicable to such items shall be the rates as specified in Item II of the schedule."

Example :
there is 1 heater and 1 machinery under head Plant & Machinery :
A-29000
B-15500

addition in A-4000

as it is less than 5000 and also less than 10% of 29000(10% of A),it
will be depreciated @ 100 % ?

OR

as it is less than 5000 and not less than 10% of 44500(29000+15500),it will be depreciated at normal rates ?

If a director is common in 2 Public companies and hold less than 2% of the share capital of the Company, then will his vote be counted in the Board Meeting on the matter of a contract or arrangement to be entered into with that other Company??Is he interested under section 300???


Please help me to sort out the query...need answer urgently...

DIN 3 OR FORM 32

sir/madam had applied for a fresh din of a director as the previous din had lapsed. i have received new din. now i want to know that whether i have to file DIN3 or FORM32 to register her as a director in ROC. the confusion is because the company was incorporated on 3rd FEB,2007 and at that time it was compulsory to file DIN3.

Depreciation rates in Companies Act,1956

Depreciation rates given in schedule xiv of the Companies Act,1956 are minimum or absolute ?

Can a company depreciate the assets at a rate higher than those specified in the above mentioned schedule ?

Re adoption of amended annual accounts

Can the audited annual accounts, once adopted in AGM be amended & re adopted in an Extra ordinary General Meetings. Is their any specific provisions for the same.

Private Company into a Public Company

Dear sir

we have filed Form-23 to ROC regarding conversion to private into a public company. Now it is approved.Then we are filing Form-1B to central government. But it is showing one error i.e. public company only should file Form-1B.

so please can anyone tell us which form we should file to central govt.?

Dear All,

Can anybody guide me in incorporating a Agriculture based company . I have heard that some special permission is to be acquired in order to commence business in this sector??

A private limited co. with AUTH. capi and paid up capital of Rs. 5 lacs (incorporated on 11-07-2007)has a turnover of Rs 5.5 lacs during the year 2008-09. the company has not taken any loan from any financial institution or bank.For the year 2007-08 & 2008-09, the company has loss.
Should the company file Auditor's report, while filing P&L, BS, Noitce and Director's report in Form 23AC?
