Form 17

In Form 17 under verification part two columns are there for digital signature
One is for charge holder and another is for Assignee

My question is

Whether digital sign.is required for both columns , if yes who has to sign in each column and there designation

For Eg. if charge holder is nationalised bank.

Please suggest.....

We have incorporated a pvt ltd company during Dec 2009. During 2009-10, there is no transactions. During 2010-11, we have commissioned our industry and coming into production. In this stage, we have to get clarification from experts when we have to file returns both for ROC and Income Tax.

format of resolution

On of my client desire to avail the EES'2011 scheme. In this scheme on of the director has to authorize for file the application . I have required the format of resolution for authorizing the one of director to sign the appropriate form in this scheme

Meeting in a Company

If all the directors of a Pvt. Ltd Co. are the shareholders of that Co., can a Board Meeting be treated as a General Meeting? If yes, under what circumstances?

Board meeting as per listing agreement

Listing agreement says " the board shall meet atleast four times a year with a maximum time gap of four months between any two meetings"

now can we take the interpretation as there may be a time gap of more than 4 months between 2 board meetings taking place in different years...e.g.
we have conducted a board meeting on 17th of January 2010 then the next board meeting can be held on 30th May 2010 for placing audited financial result..as time gap exceeds 4 months but its a new financial year.....

further, the word "year" is used herein above means a calender year or a financial year...reply soon...with documentary reference...

when board of director authorise employee of the compa ny to sign any particular agreement under such case can managing director himself can excute the same.

Managin director derives inherent power from MOA.whether his act is invalid as board has not authorised
