28 January 2011 EXTRACT OF THE MINUTES OF THE EXTRA ORDINARY GENERAL MEETING ………………. LIMITED HELD ON 15TH NOVEMBER, 2010 AT THE REGISTERED OFFICE OF THE COMPANY AT 11.A.M.

“RESOLVED THAT pursuant to Section 97 of the Companies Act, 1956, the Authorised Share Capital of the Company be and is hereby increased from Rs. 10,00,000/- (Rupees Ten Lakhs) divided in to 5,000 (five thousand) equity shares of Rs.100/- each and 5,000 (five thousand)Cumulative Redeemable preference shares of Rs. 100/- each to Rs. 3,00,00,000/- (Rupees Three Crores) divided into 2,95,000/-(Two lakh Ninty Five Thousand) Cumulative Redeemable preference shares of Rs.100/- each and 5,000/-(Five Thousand) equity shares of Rs.100/- each ranking pari passu with the existing equity shares.”

“RESOLVED FURTHER THAT Clause V of the Memorandum of Association and Clause 4 of the Article of Association of the company be altered Accordingly.”
