private co's inviting public funds..

Dear All,

there are several Private and Public Limited Companies which are inviting public to invest into various schemes under which either they get double the amount of thier invst within 5 years and triple within 9 years. also, there are Companies which lure investors by asking penny amount of investment say 5000 or 6000 which makes them eligible for purchase of Gold Jewelery worth Rs.50000/-. i can name some companies like:

Royal Twinkle Star Club Limited
Abhinav Gold International Marketing Private Limited.

my question is, can Companies not registered with RBI or as NBFC, can carry on such type of business? if yes, what is the autenticity of their business?

can a public or private limited companies invite people through these schemes?

lakhs of people are overwhelmingly investing into such scheme of this Companies, if they lose their money where should they go for Complaints ? who besides ROC, MCA regulates their business?

One of the Pvt Limited Co. fade up with the services of existing auditor & wish to appoint another auditor in his place for the FY 2010-11

Query regarding this:

1.What is the procedure to appoint another auditor in place of existing auditor??
(considering that in real no AGM held of the co. after oct. 2009 & existing auditor may given his name as auditor appointed for FY 2010-11 in ROC)

2. Can a new auditor be appointed for the FY 2010-11??

One sign on Annual Return

Only one director signs on annual return and submit it.He also don't attach the clarification for not present of other directors..

Does the content of annual return can be cancelled in this type of annual return?
I mean this kind of annual return with 1 sign and without clarification , is valid or not.

Share Valuation

Sir,

I want to purchase the share of X Pvt Ltd Company which is already passing through bad phase.
Share value of the company is 10 and share capital is 1 crore. I want to buy this in 1rs only.

What's the proper way for this? Who should do value either auditor or CLB?

Annual Return without sign

Sir,

In a private limited company , annual returns are submitted without any sign of any directors. In this case all the transaction of share transfer mention in those annual return can be cancelled?

issued cap: (already issued) rs 100000

proposal: issue new 5% (500 in nos.) shares for50 lacs ASAP

Annual Return

Is it necessary that annual return should be signed and submitted by at least any of two directors of private limited company?
What if we submit only with one director's sign ?

Query

1. Whether there is any restriction for
the period of appointment (say tenure is more than 5 years).

(Somewhere, I noticed that there is no restriction of tenure for WTD. Is it so)

2. Whether there is any restriction for
the payment of remuneration (say tenure more than 3 years).

3. How do we fill in Form 25C - whether payment details for the range of 3 years only or 5 years.
