sitting fees

If Sitting fees for director are not mentioned in the Articles then what is required for giving such fees both to whole time directors and independent directors

Please tell me if AGM approval is required or a mere board resolution will do as SEc 309(2) regulates such fees.

Does Sec 309(2) supersede the Articles

p.s the sitting fees is not mentioned at all in the articles.

Does that mean even if it is not provided in the ARticles the company can give the fees and that too is the limitof 20000 and 10000 applicable to all directors

Document attestation

dear all please tell me if a NRI gets its passport and other document notarise in his home country how long will it consider valid attestation in india . what is the validity period of such attestation

The name of company was changed w.e.f March 01, 2011. After March 01, 2011 some POs were issued to vendors in the former name of the company and invoices were all received from vendors in old name. Are those invoices and POs valid or need to be altered?

WTD in Pvt Ltd Company

Can any one solve the following queries??

Is it necessary to file for 25C for appointment of WTD in a Pvt Ltd company??

We can appoint WTD for max 5 years. What is the compliance for re-appointment of the same?? do we have to file form 32 again??

What are the provisions applicable for remunearion of WTD in a Pvt Ltd company??

What are compliances regarding Board Resolution for Remuneration of WTD?? do we have to note it for every year?? if yes, then in which meeting?? what is the compliance if there is an increase in remuneration?
