Determination of due date of AGM.

Company year end : 30.09.2010
Last Agm held : 28.12.2009

Due date of AGM will be 28.03.2011, keeping in mind Section 166 and 210 of Companies Act.

As per Sec. 166 Every company shall in each year hold its AGM.

In above case AGM is not held in the same calender year.

What can be the remedy and due date in above case.

what is the order in company law procedure, is the company to hold agm and adopt the accounts and then the auditor to sign the financials. what is the time required for giving notice and holding AGM. can the date of agm for adoption of accounts and signing by the auditors of the accounts be on the same day.

Preference shares are issued in 1990 and as irredeemable and The Company wants to redeem the shares now and Company wants to redeemed the shares at a Discount and not at the par value.
Please give the guide lines of that and any circular??
And also send the procedure of the same.

A newly formed Pvt Ltd Company having subscription money from USA. So what are the provisions to be comply with the RBI? Kindly give drafts documentation of the same and time limit of the same. Further any kind of annual intimation/s is required to be given or not in the said case with the RBI.

Expansion Ltd. has been sanctioned a loan of Rs 5 crores by Yes Bank Ltd., against the security of

the mortgage of its factory building as well as the guarantee of its two directors. As per the loan

sanction letter, the two directors who are giving guarantee have to mortgage their individual flats

to back up the guarantee. Yes Bank Ltd., insists that the all the three mortgage documents (one

of the factory building, and of the individual flats ) have to be registered with the ROC.

Kindly resolve my query as the company is incorporated on 02.03.2007 and we had filled its 23 AC and 23 ACA but wrongly we entered 30.09.2008 as due date in it and agm date as 02.03.2009. now we have to file 20B for 2008, so kindly tell me that how could i file 20 b and we had filled returns for the f.y. ended 2009, 2010 and 2011.
