Section 297 of companies act

Sir,

Can anyone clarify me whether section 297 of the companies act is applicable to transaction between public company and sole proprietorship which is carried on by the director of the company?

Section 297 and 314

In a Private Company dealing in hotel business having paid up capital more than 1 Cr, the Board proposes to enter into a contract with the wife of one of the Directors.

What sections will be attracted? Is it Section 297 and 314 or something else? As per my knowledge the COmpany needs to apply to RD under Section 297 and pass Special resolution under Section 314 and take approval of CG.

Can anyone tell me the correct procedure for doing the needful.

Also if any one can tell me the difference between Section 314 (1) and Section 314 (1B)

Transfer of shares

A pvt. ltd. co. received share transfer deed on the last date of validity. the company noticed that the deed requires some correction. what will be procedure now. whether the Company may send back transfer deed for correction or the transfer deed will be no longer valid and the parties concerned has to fill a new transfer deed

If agreement is not registered

when agreement is not registered because of other second party are not ready for the ths act but 1 st party is keen to do registration of agreement,what are the solution or action are available against if any dispute is creat in future.
