A Pvt. Company is not working since last 12 years. One of two director has been died in an accident. Company status is showing in MCA portal - strike off. Now another director wants to make company active.

What is the procedure to renew company registration ?

could you please clarify me whether the Stipend Employees will attracted to PF and ESI or not if it is applies or not could you give me the supporting material information for that ?


and further if they are not applicable for the PF and ESI then shall we show them in Pay roll ? or shall we show then in a separate sheet for their payment calculations ?

one listed company want to acquire shares of pvt ltd company by issue of its own shares. In future private limited company will merge with listed company. Is there any restirction for merger?????????

our client want to file the annual filing for a pvt ltd company sir.
the problem is the person who signed the balance sheet for 31.3.2009 resigned from the company. while filing the din number of that director in form 23ac it shows enter the valid din . i have also verified in mca website it shows the din was rejected . . now how i should fill the form can anyone please help me in this regards

There are 2 share holders. Since minimum share capital should be 1 lac, both the share holders contributing in the ratio of 1:1 for a new pvt ltd co.

Should this contribution only be in cash or it can be in kind ? i.e. Can any asset be contributed ?

Dear Members,

Constitution of my Audit committee was like 2 independent directors and 1 WTD. (S 292A)

however, independent directors left the Co. (Unlisted Public Co.) and meeting could not be held for 1 quarter.

meanwhile new directors were appointed and committee was duly constituted again.

for 1 quarter, wherein independent directors were not there, should i show meeting appointing another WTD's as a committee members. of-course constitution will not be according to Sec, 292A.

or do i have any other remedy?
