My company wants to appoint first auditor in EGM, because its fails to comply with the provisions of appointment of first auditor in First Board Meeting.

So my question is, would there be any non-compliance on part of the company and do the company require to pay any late fees.

Moreover also let me know that form 23b is required to be file or not.

1. Is XBRL is compulsory or volunatary ?

2. Is there any penelty for non filling or late filling of XBRL ?

3. What documents / inforamation required for file XBRL ?

4. Company have to file XBRL for 2010-11 or for 2011-12 only (in case of incorporated before 2010-11) ?

5. What will be the cost of filling XBRL (In case of outsourcing) ?

OR

Pl mention, steps (one by one in ascending order) to file balance sheet / profit & loss in XBRL
format.

Please advise whether following is correct formula to arrive at Net worth:

Share Capital plus Reserves and Surplus (incl. credit balance of P&L Account) less debit balance of p&l account

I am taking the following base "The word “Net worth” as defined under the Companies Act, 1956 as sum of paid up capital and free reserve. “Free Reserves” means all reserves created out of profits and share premium but do not include reserves created out of revaluation of assets, write back of depreciation provisions and amalgamation."

Can foreign company being the share holder of the india company authorise an auditor to subscribe to MOA/AOA?. This auditor is proposed to be named as statutory audit for the indian company?

Is this valid under the indian laws?

What is the procedure of transfer of shares of a deceased member of a Private Limited Co. to other existing members? (There is a written Will)

there is a company named "VIJAY SHRI CONSTRUCTIONS & HOTELS PVT. LTD" whose status is dormant. as per the findings it has not done its annual filing fir the year 2002, 2003, 2004, 2005 & 2006.

In a BM of 10 Sep 2012, Mr. B resigned from Directorship and Mr. C appointed as AD in same meeting.

Who will be considered to form Quorum of the meeting
MR. A - Director
MR. B - Director
MR. C - ?

Who can sign Minutes of the meeting except Mr. A.

I have one query regarding date of AGM... does the date of filing of ITR of the Company matters the date of AGM. or it can be after the date of filing the ITR also.??

Please clarify the point sir..

AM I RIGHT?
1. the date of Balance Sheet and Auditors' report should be any day before the date of NOTICE of AGM.

2. the Board report date should not be before the date of Auditor's report and practically it can be same day.

3. Notice should 21 clear days of the AGM date.


Please help in this regard.

On Share Transfer form and Annual Return, what should be the address of Nominee Shareholder whether Company's Address or nominee's individual address ?
