for an import export FDI pvt Ltd company to be set up in India, is one foreign promoter (who is also director) enough?

The other person who will be director only (professional or appointed director) will be an Indian.

Is this ok?

Can Company transfer its general reserve to the specific reserve, if yes than what is the procedure to convert the same and what compliance to be made as per companies act,1956?

The section is applicable if a private limited company having a subsidiary, which is also a private limited company.

Dear Sir,

I have a query relating to change of management and subsequent appointment and regularisation of directors. The management changed on 25/9/2012 and on same date directors were resigned and new directors were appointed as additional directors. Further on the same datei.e. 25/9/2012 EGM was held on shorter notice for regularisation of director.

My query is this a correct procedure or section 257 will be applicable and at least 7 days notice be required?

One of my client has a public limited company. The Board of Directors appoint 3 additional Directors on 28/09/2012. On the same day, they call an EOGM at shorter notice and regularise additional directors as Directors. Since, it is a public company, Section 257
is applicable which states that minimum 7 days notice to the members or advertisement in newspaper is required for appointment of a director. So, appointment of Director at shorter notice is valid or not???

The disclosure of Foreign exchange earnings and outgo (total foreign exchange used and earned), how we need to disclose the figures i.e either on accrual basis or on payment basis.

1. can a illiterate person be a member of company?? he can put his thumb impression for signing to become a member?? which thumb impression is to b provided- right or left??
2. in case a porson wans to b a member of company but has his hands amputated so how would he subscribe to MOA??? by wht means other than Signing?
