Can anybody please provide the provisions for the appointment of the Chairman of the Company (not of the meeting) like the appointment, duties, responsibilities means can he be on a safer side by appointing himself as chairman only and not as a Director. Please help it urgent. thanks

A company having paid up capital of Rs.5 Crore or more required to appoinment whole time company secretary. If company not appoint whole time company secretary havig paid up capital of Rs 5 Crore of more than what are the consequances arise?

I am working in a Pvt. Ltd. Co. which is 100% subsidiary of the Japanese Co.
Prevailing Articles has the provision of subdivison of share Capital in smaller amount or larger amount .

However it does not talks about reclassification of shares. By amending Articles of Association of Companny , I want to insert one more Article which will allow reclassification of share capital in the different class of shares.

Which resolution has to be passed for such reclassification.

While adding Article for allowing reclassification Can I simply state that Shareholders in general meeting by passing Ordinary resolution can classify or reclassify its share Capital.

Do I statutorily allow it through passing special resolution only???

Can I directly authorise Board through Articles, to clasify or reclasify the existing Authorised share Capital Structure?

We have taken Term Loan with Vatva Branch, and our charge was registered with ROC for Vatva branch. Our account was transferred to S.M. Road Branch but we have paid the full amount to Vatva Branch in full. So in fact there was no Transfer. Now we need to get a Charge satisfaction Letter from S.M. Road branch as it is easier to get letter from an Online banking Branch. Suggest whether it is proper or not?

And more for Filing Form 17 we don't have charge ID with us. How can we get the charge ID?

Form 23 (Registration of Resolution) and
Form 25C(Appointment of MD) and
Form 32(Change in designation of Directors)

Kindly tell about the penalties that are applicable in such case.

We are a pvt ltd. co. which is not a subsidary of any public ltd. co.

I filed form 23AC and transaction status shows APPROVED ..........

same form was containing mistake.....

what does that mean? mistake is not noticed by ROC???????
