03 November 2012 Dear Sir,

I have a query relating to change of management and subsequent appointment and regularisation of directors. The management changed on 25/9/2012 and on same date directors were resigned and new directors were appointed as additional directors. Further on the same datei.e. 25/9/2012 EGM was held on shorter notice for regularisation of director.

My query is this a correct procedure or section 257 will be applicable and at least 7 days notice be required?

Section 257 says after you receiving the intention of membere or individual to appoint director, either you serve 7 days notice or newspaper publication.

In your case, if you regularise the additional director on the same day it means you are not complying the provision of this section.
