If A & B are partners of a firm carrying 'H' business...can they again form a new partnership carrying the same business without the dissolution of old partnership..??

@Ramesh- Its because A & B want to have two firms one a service tax paying and another non service tax paying for their clients

One of My Clint is running a shipping logistics private limited company. it is having two directors one of them are NRI. Now the NRI director is given loan to company.

Please suggest me what is the various compliances they have to follow( specially RBI and FEMA).

Situation:

'A' is having sole prop. concern with the name of "A & associates".
'A' floats a partnership with 'B' under the name of "B & associates".

Queries:
1. Can 'A' do so i.e. can he become partner in a P.Ship firm alongwith running his own sole prop. business.

2. If yes, can both the entities be treated as 'separate entities' in the eyes of law.

I was issued a blank cheque to complain tat for purchase of plot four year back with a request to prepare agreement to sell. But did not make any agreement with me after number of times visiting into his office nor returned my cheque.Ultimately, I compelled to withdrawn a money from bank. Due to non-maintaining account, bank closed my account. After four year, complain tat had deposited a cheque of Rs.2Lac into my bank without giving information to me. Bank returned the same cheque with remarks "insufficient fund" while my account has already been closed three year back due to non maintenance by bank. Now, complaint tat has filed suit on me with the remarks that he has given 2Lac cash loan to me against the same cheque.Please justify it, what i do.

Does central government have the power to override the provisions of AOA ?
For Eg : If there is NO provision in the Articles of association of the comp to issue shares on discount, but if the company has obtained a sanction from the govt regarding the same, what is the way ahead for the company ?

i guess esi is applicable for employees etc whose pay is less than 10k pm. Most of such emp could be house keeping staff., in case that is outsourced, is company liable to pay esi to such employees also., or can the company make the agency pay for the liability & get a certificate in this regard..?
