In compliance certificate we give the details of all the forms filed during the respective Financial Year. My query is that whether to show the details of Form-23B(Intimation by Auditor to RoC of there appointment) in the Compliance Certificate or not?

Remuneration committe approval

CAN A BOD APPROVE THE ADDITIONAL DIRECTOR REMUNERATION AS ON DATE OF APPOINTMENT?? OR CAN THE SAME (REMUNERATION) BE APPROVED BY THE REMUNERATION COMMITTEE IN THE NEXT MEETING SO CONDUCTED??

Regarding not holding agm

The comapany has not held AGM for last 4 years. Now the company has held AGM on 30th December, 2011 (for year ended on 30th june,2011). The company wants to adopt 4 years balance sheet in this AGM (30th December, 2011). Can co do this. If no then provide procedure.
