A company in india was initially incorporated with 2 indian directors. The Company is engaged in Travel related services which is coming under automatic route for FDI. My query is that now , the company proposes to issue 95% of its shares to a foreign company. i believe that prior approval is not necessary as the FDI is covered under automatic route. What is the procedure to be adopted with respect to RBI for allotment of shares. What is the form/application to be filed with RBI for allotment of shares to a foreign company??

Hi All,

Kindly provide suggestion for the following situations for deducting professional tax:

1. An employee works till October 2007 during the FY-2007-08. Employee left the company without any intimation.
Therefore, the company terminated the employee from their payroll, only in December 07. (Salary not processed during the period of leave)
For the purpose of computation of gross salary for professional tax,whether the salary for October and November 2007 is to be considered?

2. If the employee is in leave for the period October 2007 to January 2007 (Salary not processed during these period), whether professional tax is to be deducted?

3. Employee received salary for the period October to december 2007. He is in leave for the period january 2008 to March 2008. When will be the professional tax deducted for the half yearly period October 2007 to March 2008?

TRULY SPEAKING EVEN I DONT KNOW THAT WHETHER THERE IS ANY ACT RELATING TO MARRIAGES..
BUT I HAVE A SMALL HOPE THAT DER EXISTS THE ACT RELATING TO MARRIAGES..

SEZ Compliance Related

Hi all,

I was verifying the SEZ compliance of one of the client. On discussion, client said that there are certain restrictions in movement of employees like:

a) Transferring old employee from Non - SEZ unit to SEZ unit (within the company)
b) Transferring newly joined employee from SEZ unit to Non-SEZ unit.
c) Movement of employees between 2 SEZ units of the company.

We were also informed that only "On Bench" employees can be transferred as said above and for other categories of employees, to the extent of 20% alone can be transferred.

They are applying 80:20 criteria as applied to P& M in SEZ.Even on discussion with other client in SEZ we are informed the same.

Is it Correct? Is there any such restrictions? Is there any such provision / case law / notification?

Kindly help on the above issue also provide us the list of State government (Tamil Nadu) benefits available to SEZ unit (Particularly the VAT, Electricity duty, stamp duty etc).

According to announcement an Artcle clerk shall shall be entitled to compensatory leave calculated with reference to number of completed working hours, over and above, 35 hours per week.Is that mean that an article will get that much extra leave over & above 138 days?
