I need a board resolution for paying Director remuneration first year.

Regarding payment of director remuneration you need to fix the remuneration of the director which may be fixed at the time of appointment or later on. In case of public company, depending upon the remuneration it may required the approval of shareholders. However in case of private company only board resolution would suffice the purpose.

Regarding payment to the relative of Director, section 314 would apply and consent of the shareholders by way of special resolution would be required.
