02 July 2012 Dear Sir/ Medam,

What is the procedure of appointment of director in 30/06/2012 and what are the requirement in Annual return for the same.

if i file form 32 today than after AGM i have been file form 32 ones again ?

i am confused so please Provide full detail regard hole process until AGM.

02 July 2012 Appoint the person as additional director in board meeting. File form 32 within 30 days. The additional director vacates office in the next AGM. So in AGM regularize the appointment and appoint as full fledged director. Again file form 32 within 30 days.

I agree with dear Sanjay.....

To resolve the problem, you can follow the given option:

1. Call a Board Meeting for appointment of AD.
2. First appointment of AD before the date of AGM.
3. File Form-32 with ROC for such appointment.
4. Call a EGM for regularise sud additional director as director before AGM, if the management require to continue him as director on Board.

5. You can also regularise him on AGM. under section 257.
6. After EGM/AGM file Form-32 for change in designation of AD.
7. File the details in Annual Return as Director of the Company.
