our company is going to appoint our director as managing director ,so what is the procedure to appoint managing director of unlisted company.which form should be submitted to the roc

Meeting of the share holder to pass resolution is necessary if Board appoint than should be approved by the shareholder and file an application in form 25A to the Central Government and also give a notice as per sec 640B the copy of the same application given to Central Govt should be given to ROC along with the same attached document.File form 25C as return of appointment with ROC within 90 days and Form 32 within 30 days and make entries in the Registrar of Director.
