02 July 2011 According to me all the condition applicable to Public Company are first required to fulfill such as...

i) Number of Director
ii) Minimum number of Member
iii) Capital for which time will be given to increased upto Rs. 5 Lakh.
iv) Withdraw the restriction on Public Investment which is main feature of Private Company.

After Making Changes you can make Convert Private Company in to Private Companty.
