very very very urgent -capital gain on share

25 February 2015 Sir, if one director held share in pvt co..shares are unlisted .now he is going to resign from that company and other new director is purchasing his shares
then what will be the holding period for calculating capital gain 12 months or 36 months in case of unlisted shares in pvt co.
