02 August 2025 Here’s a standard format for the **undertaking clause** relating to the dissolution of a trust or society, which you can use for Section 12AA and 80G applications:

**Undertaking on Dissolution of Trust/Society**

We hereby undertake that in the event of dissolution or winding up of the Trust/Society, **the funds and assets remaining after the satisfaction of all liabilities shall not be distributed among the members but shall be transferred to another Trust/Society** registered under Section 12AA of the Income Tax Act, 1961, having similar charitable objectives as those of the Trust/Society.

This transfer shall be subject to the approval of the competent authority under the Income Tax Act and the relevant provisions governing charitable trusts/societies.
