A private limited Co. wishes to transfer all of its Land, Building, Plant & Machinery to another company.
It is continuing its business but wishes to do so without the land, building, plant & machinery.
It will remain a going concern after such transfer.
What is the procedure for doing so?

Pass a resolution in Board Meeting authorising one Director who shall execute the documents on behalf of the company.
