one of the shareholder of my company is a xyz company whose name was changed recently now that xyz company has requested to change its name on share certificate.

what is the procedure to change name of the company on share certificate and whether stamp duty its required to be paid or not on issue of new share certificate ???

13 July 2016 1. Check the provisions if any in AOA relating to issue of share certificate by the company
2. Obtain a certified copy of the fresh certificate of incorporation issued by the Registrar of the Companies along with the share certificate(s)
3. Pass Board resolution for issue of renewed share certificate or making necessary endorsement on share certificate.
4. No need to pay stamp duty as it was already paid on old share certificate
5. Make necessary entry in Register of Renewed and Duplicate Share Certificates maintained in Form No.SH.2
