Can anyone please provide me with a resolution for the purpose of "resignation as WTD and continuing as director" in a private limited Company.Its urgent....

"RESOLVED THAT Shri............, Whole time director of the Company tendered his resignation as the WTD of the Company and he will continue to be a Non Executive Director of the Company w.e.f. the current date."
