Removal of permanent director

08 September 2012 The articles of association of our Company has provided that one of of our director say "Mr.X" will be a permanent director of the company, so long as he holds 1/3rd of the issued caiptal. One of our shareholder of the company say "Mr. Y" sends a special notice to the company for removal of the director Mr. X in the General Meeting by ordinary resolution.
My queries is Can Mr.x be removed from directorship?

Kind reply at the earliest. the above matter is very urgent.

Section 284 of the act deals with the removal of the director before the expiry of his period under various conditions enumerated therein.It will be decided by Shareholders in General Meeting.

Further, Section 283 of the act deals with the vacation of office by the directors and the circumstances under which the office is vacated.
