Power of attorney

07 September 2011 One of the director of our company is in Canada for last one month and he may stay there for one month more. For banking purpose we have to execute a power of attorney by director abroad in favour of a director in India.
My questions are;-
1. Procedure for executing POA by a person abroad in favour of a person in India. Explaining the role of Notary public in Canada or Indian Embassy or Canadian Embassy????

2. Does it have to be embossed before collector/commisioner in India?
