28 August 2012 can a Private ltd. company appoint a Non-resident as whole time Director,

if
- he attends board meetings of the company through Video conferencing.
- delegation manual of the company provides him/ her appropriate authority.
- he frequently travels in india, for company works(still he is a Non-Resident).

The provisions of Companies Act, 1956 relating to appointment and remunerations of MD/WTD/ or other directors of will not apply to private companies, unless it is subsidiary of public company.

The Private company directors' remunerations are governed by its articles.
