what is the last date of filing annual account and annual return of a company in ROC?
and what will happen if not filied upto that date?

You have to file balance sheet and p & l account with in 30 days of AGM.
Suppose your AGM date is 30.09.2009 then last date of your account filing is 30.10.2009.
Annual return is required to file with in 60 days of AGM u/s 159.
In case you fail then you may file it with late filing fee.
