There is no restriction on signing of digital forms by any director, but if you pass a resolution that specific director will sign the MCA forms, then only that director will sign the form as approved by resolution.

I will suggest you to give blanket approval to all director for using digital signature for MCA Filing.

22 December 2012 Format of Board Resolution:

FILING OF STATUTORY FORMS

The Board was informed that MCA 21 an e-Governance initiative of the Ministry of Company Affairs (MCA) is a flagship programme built on the Government’s vision of National E-Governance. MCA has issued General rules and forms and notified new e-Forms. These Forms have been evolved to suit e-filing and has to be authenticated by the Authorized Signatories (Managing Director/ Director/Company Secretary) using digital signatures. The Board considered the matter and passed the following resolution in this regard:

“RESOLVED THAT any Director of the Company be and is hereby severally authorized to sign and file various forms/returns and other documents as and when required to be filed under the provisions of the Companies Act, 1956 with the Registrar of Companies, NCT of Delhi and Haryana, and Department of Company Affairs and to do all such acts, deeds, matters and things as may be required in this regard.”
