Form-23 w.r.t form-2

MY QUERY IS WHEN WE ARE FILING FORM-2 FOR ALLOTMENT, IT SHOULD BE PRECEEDED BY FORM-23 OR NOT. KINDLY CLARIFY?
Please confirm, it is public company or private company.
If it is public company, then shares are issued in accordance with the provision of section 81 of the Companies Act, 1956 then filing of Form 23 will be prior condition before filing of Form-2.
So, In case of public company, Form-23 will be filed before filing of Form-2 with ROC, because SRN of Form-23 will be filled in Form-2.
