22 January 2011 1. Is franking can be done on affidavit and indemnity bond of Rs. 100 (in state of gujarat).
2. Our registered office at Roc is very old and now that building is also not there i.e. it is demolished. Now should i file with the same old registered address or what should i do. Is there any letter submitted by Roc at that address. Should we have to apply at ROC to collect the necessary document by hand from Ahmedabad ROC.
3. what happen to assets and liabilites which we are showing in statement of accounts. How shareholders get their money back.

2. You have to apply for change the registered address.
3. Company has to adopt liquidation procedure in this case.

23 January 2011 I hold a different view:

1) Affidavit requires stamp duty of Rs. 20/- only in Guj. So you may save the differential.
2) You may or may not go for change of address
3) The assets and liab are to be distributed to the shareholders only the company' names is removed from the register of members by ROC.
