Draft of agreement

28 March 2010 Dear sir,
I am working with an indian pvt. ltd(trader exporter,incorp.in oct-09) company which is registered under aux.business services under service tax. This co.act as a mediator between foreign buyer and indian suppliers on the instructions of another foreign co.(Z).Prior to its incorporation, this foreign co.(Z) has an MOU with its promoters (individual resident indian) that they will reimburse the actual exp. whatever incurred in carrying out its operations.

But after the incorporation, the same reimbu.is comming in the name of the company without any agreement between the Z and the indian co.
Can any one provide me the draft of agreement on the nature of business specified above?
what will be the service tax liabilty in both the cases ( reimb.without agreement and/ with agreement)

28 March 2010 The agreement would be a customised agreement and hence difficult to find a template. I request if you can yourself draft one and put in on the club or send it to me for verification.
